1. Choose the Type of Business

Before registration, you need to decide on the business type. Common types include:

  • Sole Proprietorship: Owned by one individual with unlimited liability.
  • Limited Liability Company (LLC): Can have one or more members with liability limited to their capital contributions.
  • Joint Stock Company: Requires at least three shareholders, can issue shares, ideal for raising capital.

2. Prepare Business Registration Documents

Required documents include:

  • Business registration application (Form 01).
  • Company charter.
  • List of members (for LLCs) or founding shareholders (for JSCs).
  • ID/passport of members/shareholders.
  • Proof of business address (rental contract, utility bill).

3. Submit the Application

Submit your completed documents to the Department of Planning and Investment (DPI) where your company is based. You may submit in person or via the DPI’s online portal.

4. Receive the Business Registration Certificate

If your documents are valid, the DPI will issue a Business Registration Certificate within 5–7 working days.

5. Create the Company Seal

After receiving your certificate, have your company seal made. This seal will be used on all official and legal documents.

6. Register for Tax

Register for taxes at the local Tax Department to receive your tax code. Monthly or quarterly tax declarations are required.

7. Open a Bank Account

A business bank account is required for transactions. You’ll need the registration certificate and company seal to open one.

8. Publish Seal and Bank Info

Publicly declare your seal and bank account details on the National Business Registration Portal.

9. Labor Registration (if hiring employees)

If you have employees, you must register for social insurance and notify the local labor authority.

Frequently Asked Questions

What types of taxes and fees must a newly established business pay?

A newly established business will be subject to the following taxes and fees:

  • VAT (Value-Added Tax): Calculated on the company’s positive profit each monthly or quarterly reporting period. The tax rate is 10% on total profit.
  • CIT (Corporate Income Tax): Calculated on pre-tax profit at the end of each fiscal year (December 31st). The applicable rate is 20%.
  • Annual Business License Fee: Based on the registered charter capital:
    • Capital ≤ VND 10 billion: 2,000,000 VND/year
    • Capital > VND 10 billion: 3,000,000 VND/year

For branches, representative offices, and business locations: 1,000,000 VND/year

If the business is established after July of the calendar year, the fee is 50% of the full-year fee.

Note: Newly established businesses are exempt from the license fee in the first year.

Deadline to pay: January of the current fiscal year.

  • PIT (Personal Income Tax): Payable if the company pays salaries or income to employees monthly or quarterly. The rate depends on individual income levels, ranging from 5% to 20%.
  • Additionally, if the company engages in share transfers or securities trading, PIT must be paid on the transfer value.
Is a bank account required for newly established businesses?

Yes, according to regulations, newly established businesses must open a business bank account to perform operations such as electronic tax payments and commercial transactions.

What identification documents are required to establish a business?

For Joint Stock Companies or Multi-member LLCs, each shareholder or member must prepare 2 notarized copies.

How must businesses declare taxes after establishment?

Currently, newly established companies are required to declare VAT quarterly (every 3 months). At the end of the fiscal year, they must prepare financial statements and annual CIT finalization reports.
